1. Definitions

In these Terms and Conditions, the following definitions apply:

• "Service" refers to property rental advisory and management services provided by Haruspex
• "Client" or "You" refers to individuals or entities engaging our services
• "We," "Us," "Our" refers to Haruspex
• "Agreement" refers to these Terms and Conditions along with any service-specific agreements
• "Property" refers to residential rental properties in Singapore
• "Website" refers to our online platform at haruspasons.life

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you should not use our services.

You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement under Singapore law.

3. Service Description

Haruspex provides the following services related to property rental in Singapore:

Property Portfolio Access

Access to curated listings of rental properties through our private database. This service includes property verification, landlord background checks, and personalized search filtering.

Lease Advisory and Review

Professional review of tenancy agreements including legal analysis, risk assessment, and negotiation support. This service does not constitute legal representation.

End-to-End Tenancy Management

Comprehensive service covering property search, lease negotiation, move-in coordination, and ongoing tenancy support including quarterly reviews and maintenance liaison.

Detailed service descriptions and limitations are provided in individual service agreements.

4. Service Engagement and Fees

Engagement Process

Services are engaged through submission of our inquiry form, followed by consultation and execution of a service agreement. Each service has specific terms outlined in individual agreements.

Fees and Payment

• Property Portfolio Access: SGD 200 (one-time fee)
• Lease Advisory and Review: SGD 750 (per lease)
• End-to-End Tenancy Management: SGD 1,950 (per engagement)

All fees are in Singapore Dollars (SGD) and exclude applicable taxes. Payment is due within 7 days of invoice unless otherwise specified. Late payments may incur interest at 1.5% per month.

Refund Policy

Fees are non-refundable once services have commenced, except in cases of service non-delivery due to our inability to perform. Refund eligibility and amounts are determined on a case-by-case basis.

5. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information about your requirements and circumstances
• Respond promptly to requests for information or documentation
• Attend scheduled property viewings and consultations as agreed
• Make timely decisions regarding property selection and lease terms
• Pay fees according to agreed schedules
• Inform us of any changes to your requirements or contact information
• Comply with all applicable laws and regulations
• Maintain confidentiality of any proprietary information shared with you

6. Intellectual Property

All content on our website and in our service materials, including text, graphics, logos, images, and software, is the property of Haruspex or its content suppliers and is protected by Singapore and international copyright laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website and services for their intended purpose. You may not:

• Reproduce, distribute, or display our content without permission
• Modify or create derivative works from our materials
• Use our content for commercial purposes outside of your engagement
• Remove copyright or proprietary notices from any materials

7. Disclaimers

Service Provision

Our services are provided on an "as is" basis. While we exercise professional diligence, we do not guarantee:

• That you will secure a specific property or lease terms
• Particular outcomes from lease negotiations
• That all property information will be completely accurate
• Continuous, uninterrupted access to our website or services

Not Legal Representation

Our lease advisory service provides professional review and guidance but does not constitute legal representation. We recommend consulting independent legal counsel for complex situations or legal disputes.

Third-Party Information

Property information provided by landlords or property managers is shared in good faith. We verify information where practical but are not liable for inaccuracies in third-party provided details.

8. Limitation of Liability

To the maximum extent permitted by Singapore law:

• Our total liability for any claims arising from our services shall not exceed the fees paid for the specific service in question
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for losses resulting from third-party actions or information
• We are not liable for damages resulting from your failure to follow our recommendations

This limitation applies whether claims are based on contract, tort, negligence, or other legal theory.

9. Indemnification

You agree to indemnify and hold harmless Haruspex, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms and Conditions
• Your violation of any applicable laws or regulations
• Your provision of false or misleading information
• Disputes between you and property owners or third parties

10. Termination

By Client

You may terminate services by providing written notice. Fees paid for completed services are non-refundable. Services in progress will be billed on a pro-rata basis.

By Haruspex

We may terminate services if:

• You fail to pay fees when due
• You provide false or misleading information
• You violate these Terms and Conditions
• Circumstances make it impractical to continue service delivery

Effect of Termination

Upon termination, you must immediately cease using our services and materials. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.

11. Confidentiality

Both parties agree to maintain confidentiality of information shared during the service engagement, except:

• Information necessary for service delivery (e.g., sharing client requirements with property owners)
• Information required to be disclosed by law
• Information that becomes publicly available through no fault of the receiving party
• Information already known to the receiving party

12. Dispute Resolution

Governing Law

These Terms and Conditions are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.

Jurisdiction

The courts of Singapore shall have exclusive jurisdiction over any disputes arising from these terms or our services.

Informal Resolution

Before initiating formal proceedings, parties agree to attempt informal resolution through good-faith negotiation for a period of 30 days.

13. General Provisions

Entire Agreement

These Terms and Conditions, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and Haruspex.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations to a successor entity.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date.

Continued use of our services after changes indicates acceptance of the modified terms. We will notify existing clients of material changes via email.

For engagements already in progress, the terms in effect at the time of engagement will apply unless otherwise agreed in writing.
